These Terms and Conditions ("Terms") govern your use of the TUNING-DATABASE website (www.tuning-database.co.uk), operated by Tuning Database ("we", "us", "our"), and all purchases of products and services made through this website. By accessing this website, creating an account, or placing an order, you agree to be bound by these Terms in full. If you do not agree, you must not use this website or purchase any products or services.

1. Definitions

"Digital Products" means all ECU tuning files, calibration data, remapping files, original ECU files, and any other downloadable data files sold through this website.

"Software" means all desktop applications, tools, and utilities sold through this website, including but not limited to INSTATuner, CHKSuite, Hardcut Rev Limiter, Hardcut Ignition Cut Tool, EDC15P SVRL Hardcut Editor, Overrun Pops and Bangs Tool, Launch Control Tool, MED9.X Antilag, vMax Remover, TProt OBD Tool, Hot Start Fix Tool, and TUNERSuite.

"File Service" means our bespoke/custom ECU tuning file service, where a customer submits an original ECU read file and we produce a custom-modified calibration file to their specifications.

"Credits" means prepaid credit balances purchased through this website for use towards File Service payments.

"License" or "License Key" means the digital activation key provided upon purchase of Software, which authorises use of that Software on a single device.

"HWID" means Hardware Identifier, a unique fingerprint of the device on which Software is activated.

"Account" means your registered user account on this website.

2. Account Registration

2.1. To purchase products or use our services, you must create an Account. You must provide accurate and complete information during registration.

2.2. You are solely responsible for maintaining the confidentiality of your account credentials. All activity under your Account is your responsibility.

2.3. You must not share your account credentials with third parties. Each account is personal and non-transferable.

2.4. We reserve the right to suspend or terminate any Account that we reasonably believe is being used fraudulently, in breach of these Terms, or for any unlawful purpose.

3. Products & Services

3.1. ECU Tuning Files (Digital Products)

We sell pre-made ECU tuning files across multiple categories, including but not limited to: Original ECU Files, Stage 1 Remapping, Stage 2 Remapping, Stage 3 Remapping, Stage 4 Remapping, and Custom Made Files. All tuning files are digital products delivered electronically via download through your Account dashboard.

3.2. Software Products

We sell proprietary software tools for automotive ECU tuning and diagnostics. Software is delivered electronically and may require license activation. Software licenses are personal, non-transferable, and restricted to a single device unless otherwise stated in the product description. Software licenses are bound to your device via Hardware Identifier (HWID) upon activation.

3.3. Bespoke File Service

Our File Service allows you to submit your vehicle's original ECU data file along with your desired modifications. Our engineers will produce a custom-calibrated file tailored to your specific vehicle and requirements. This is a bespoke service producing goods made to your personal specifications.

3.4. Prepaid Credits

Credits are a pre-payment method that can be used to pay for File Service requests. Credits are purchased in fixed packages and added to your Account balance. Credits have no cash value, are non-transferable between accounts, and cannot be exchanged for currency.

4. Pricing & Payment

4.1. All prices are displayed in British Pounds Sterling (GBP) unless otherwise indicated. Prices include VAT where applicable.

4.2. We reserve the right to change prices at any time without notice. The price applicable to your order is the price displayed at the time of purchase.

4.3. We reserve the right to change the pricing model of any product or service at any time, including but not limited to: (a) converting a one-time purchase product to a subscription-based model (monthly, annual, or other recurring billing); (b) converting a subscription product to a one-time purchase; (c) introducing tiered pricing, usage-based pricing, or feature-gated pricing; (d) discontinuing a product and replacing it with a new version under different pricing terms. Any change in pricing model applies to new purchases only.

4.4. For subscription-based products: subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You may cancel a subscription at any time through your Account dashboard or by contacting us. Cancellation takes effect at the end of the current billing period — no refunds are issued for partial billing periods.

4.5. Payment is processed securely through Stripe and/or PayPal. We do not store your full payment card details on our servers.

4.6. All payments must be completed before any Digital Products, Software, or File Service files are made available for download.

5. Delivery

5.1. Digital Products (Catalogue Items) — Available for immediate download upon successful payment via your Account dashboard.

5.2. Software Products — Available for download immediately upon purchase. License keys delivered via email or Account dashboard. Full activation may require up to 48 hours during peak periods or where manual verification is required.

5.3. Bespoke File Service — Processed during business hours (Monday to Saturday, 9:00 AM to 6:00 PM GMT). Standard processing time is 1 to 48 hours depending on complexity.

5.4. Proof of Delivery. Delivery is evidenced by: (a) product being made available for download in your Account; (b) download notification email; (c) server logs recording download with IP address, timestamp, and file identifier; (d) software licence activation records including HWID and IP; (e) email confirmation. You agree that these records constitute sufficient proof of delivery for the purposes of any payment dispute.

5.5. Failure to receive emails due to incorrect details, full inboxes, or spam filters does not constitute non-delivery of products.

6. Cancellation Rights

6.1. Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you normally have a 14-day cooling-off period to cancel a distance purchase.

6.2. By placing an order for Digital Products or Software on this website, you expressly consent to the immediate supply of digital content and you acknowledge that you will lose your right to cancel once the digital content has been made available for download or the software licence has been activated. This is in accordance with Regulation 28(1)(b) of the Consumer Contracts Regulations 2013.

6.3. Bespoke File Service orders are exempt from the 14-day cancellation right under Schedule 2, paragraph (l) of the Consumer Contracts Regulations 2013, as goods made to the consumer's specifications.

7. Refund Policy

7.1. All sales of Digital Products, Software, and Bespoke File Service files are final. No refunds will be issued once the product has been delivered or made available for download.

7.2. Digital Products (ECU tuning files) are non-refundable once made available for download in your Account.

7.3. Software licenses are non-refundable once the licence key has been delivered, the software downloaded, or the licence activated — whichever occurs first.

7.4. Bespoke File Service files are non-refundable once made available for download, as custom-produced goods.

7.5. Prepaid Credits are non-refundable and non-transferable. No cash value. Forfeited upon Account termination for breach.

7.6. If a Digital Product does not function as described, we will re-work or replace it at no additional cost. We do not guarantee specific performance outcomes.

7.7. Refunds will not be issued for: (a) failure to read the product description; (b) purchasing the wrong product; (c) incompatibility not disclosed to us; (d) change of mind; (e) dissatisfaction with performance gains; (f) inability to download due to your connection or device; (g) failure to install files correctly.

8. Your Statutory Rights

8.1. Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015.

8.2. Under the Consumer Rights Act 2015 (Part 1, Chapter 3), digital content must be: (a) of satisfactory quality; (b) fit for a particular purpose made known to us; and (c) as described.

8.3. If digital content does not meet these standards, you may be entitled to: (a) repair or replacement (first-tier remedy); (b) a price reduction if repair/replacement is impossible or unsuccessful.

8.4. Contact us within 30 days of delivery at support@tuning-database.co.uk with your order number, vehicle details, and fault description.

9. Chargebacks & Disputes

9.1. If you have a concern about a charge, you must contact us directly at support@tuning-database.co.uk before initiating a chargeback or payment dispute with your bank.

9.2. Filing a chargeback without first contacting us and allowing 14 days for resolution constitutes a breach of these Terms and may result in: (a) immediate Account suspension; (b) revocation of all software licences; (c) forfeiture of prepaid Credits; (d) a chargeback administration fee; (e) referral to debt recovery proceedings.

9.3. We maintain comprehensive transaction records including IP addresses, download logs, access timestamps, device identifiers, terms acceptance records, and account activity logs. We will submit this evidence in response to any dispute.

9.4. Fraudulent chargebacks may be reported to fraud prevention services and law enforcement, and pursued through legal proceedings.

10. Software Licensing

10.1. Software purchased through this website is licensed, not sold. You receive a limited, non-exclusive, non-transferable, revocable licence for a single device.

10.2. Upon activation, the licence is bound to your device via HWID. You may not transfer, share, sublicense, sell, or distribute the licence or software.

10.3. To transfer a licence to a new device, contact us. Transfers are at our discretion.

10.4. We may revoke any licence immediately if: (a) used on multiple devices; (b) shared with third parties; (c) software is reverse-engineered; (d) obtained through fraud; (e) a chargeback is filed; (f) Terms are breached.

10.5. Software requires internet connectivity for activation and periodic verification (heartbeat). Licences may be suspended after 72 hours without successful verification.

10.6. We log all activations, verifications, and usage data (date, time, IP, HWID, device info) for security and dispute resolution.

10.7. All software distributed by Tuning Database contains encrypted, obfuscated, and/or digitally protected components. Any attempt to reverse-engineer, decompile, disassemble, decrypt, modify, tamper with, or bypass any protection mechanism constitutes a criminal offence under the Computer Misuse Act 1990 and a civil infringement under the Copyright, Designs and Patents Act 1988. We will pursue legal action, including injunctive relief, damages, and criminal prosecution, against any individual or entity found to have redistributed, modified, cracked, or otherwise tampered with our software or its protection mechanisms.

10.8. Redistribution of our software — whether in original, modified, cracked, or repackaged form — through any channel (websites, forums, file-sharing platforms, social media, or direct transfer) is strictly prohibited and will result in: (a) immediate and permanent licence revocation without refund; (b) legal proceedings for copyright infringement and breach of contract; (c) claims for damages including lost revenue, legal costs, and statutory damages; (d) reporting to relevant law enforcement authorities.

11. Acceptable Use

11.1. You agree not to: (a) share, redistribute, or resell any products; (b) reverse-engineer or decompile Software or Digital Products; (c) use products for unlawful purposes; (d) circumvent licence or copy protection; (e) create derivative works; (f) use bots or scrapers; (g) provide false information; (h) use products to harm others.

11.2. Breach of these provisions will result in immediate Account suspension and licence revocation without refund.

11.3. Any redistribution or modification of encrypted, obfuscated, or protected software components will be treated as a wilful infringement of our intellectual property rights. We actively monitor for unauthorised distribution and will take immediate legal action — including seeking injunctive relief, statutory damages, and criminal referral — against any person or entity involved in such activities. This applies to all parties in the distribution chain, including those who knowingly download or use pirated versions of our software.

12. Intellectual Property

12.1. All content on this website — text, images, logos, software, tuning files, calibration data, and proprietary methods — is owned by or licensed to Tuning Database and protected by copyright, trademark, and IP laws.

12.2. Purchasing a product grants a limited licence for personal or professional automotive tuning use only. No IP ownership is transferred.

12.3. You may not copy, reproduce, distribute, modify, or create derivative works from any content without our written permission.

12.4. Our software products are protected by multiple layers of encryption, code obfuscation, licence verification, and anti-tampering technology. These protections are considered technical protection measures (TPMs) under UK and international copyright law. Circumvention of these measures is a criminal offence and will be prosecuted to the fullest extent of the law.

13. Vehicle Warranty

13.1. ECU tuning may affect your vehicle manufacturer's warranty. You acknowledge that: (a) your manufacturer may void part or all of your warranty; (b) it is your responsibility to check warranty implications; (c) we accept no liability for denied warranty claims resulting from our products.

14. Emissions & Road Legality

Certain modifications (DPF, EGR, AdBlue/SCR, catalytic converter removal) are sold strictly for off-road, motorsport, and track day use only. It is illegal to use such modifications on public roads.

14.1. By purchasing emissions-related products, you confirm: (a) the vehicle will be used exclusively off-road or in sanctioned competition; (b) you accept full legal responsibility for public road use; (c) you will comply with all applicable laws; (d) you will not hold us liable for fines, penalties, MOT failures, or legal proceedings.

15. Limitation of Liability

15.1. ECU tuning modifies engine parameters beyond manufacturer calibration. You acknowledge: (a) increased mechanical stress; (b) potential reduction in component lifespan; (c) varying results; (d) pre-existing faults may be worsened; (e) use is entirely at your own risk.

15.2. We shall not be liable for: (a) mechanical failure or consequential loss; (b) personal injury or property damage; (c) loss of earnings or business; (d) damage from incorrect installation; (e) damage from using products on non-matching vehicles.

15.3. Our total liability shall not exceed the purchase price of the specific product giving rise to the claim.

15.4. Nothing excludes our liability for: (a) death or personal injury from negligence; (b) fraud; (c) liability that cannot be lawfully excluded.

16. Professional Use

16.1. Tuning files and software tools are intended for qualified automotive technicians or experienced enthusiasts with appropriate ECU reading/writing equipment.

16.2. We do not accept liability for: (a) incorrect installation; (b) incompatible/malfunctioning tools; (c) failure to back up original ECU data; (d) applying files to the wrong ECU/vehicle.

16.3. If you are not experienced, we strongly recommend engaging a qualified professional.

17. Data Protection (GDPR)

17.1. We process your personal data in accordance with UK GDPR and the Data Protection Act 2018. For full details, see our Privacy Policy.

17.2. We retain transaction records (IP addresses, device identifiers, download logs, terms acceptance) for a minimum of 540 days from transaction date for chargeback defence.

17.3. Your data rights under UK GDPR: access, rectification, erasure (subject to legal retention), restriction, portability, objection. Contact: support@tuning-database.co.uk.

18. Terms Acceptance at Checkout

18.1. By placing an order, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

18.2. You must actively check the "I have read and agree to the Terms and Conditions" checkbox at checkout. This is mandatory.

18.3. Your acceptance constitutes: (a) consent to immediate delivery of digital content; (b) acknowledgment of loss of cancellation right; (c) confirmation that digital goods are non-refundable once delivered.

18.4. The timestamp, IP address, and device information of your acceptance are logged and retained as evidence.

19. Service Availability

19.1. We aim for 24/7 availability but do not guarantee uninterrupted access.

19.2. We reserve the right to modify, suspend, or discontinue any product, service, or feature at any time. This includes changing features, releasing new versions, changing licence terms for new purchases, and retiring products.

20. Indemnification

20.1. You agree to indemnify and hold harmless Tuning Database from claims, liabilities, damages, losses, costs, or expenses arising from: (a) your use of our products; (b) breach of these Terms; (c) violation of any law; (d) vehicle modifications using our products; (e) third-party claims from your use.

21. General Provisions

Force Majeure: We are not liable for delays caused by circumstances beyond our control (natural disasters, war, pandemic, power failure, cyberattack, etc.).

Severability: If any provision is found invalid, the remaining provisions continue in full force.

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between us.

Amendments: We may update these Terms at any time. Changes posted with revised date. Continued use constitutes acceptance. Existing orders governed by Terms at time of purchase.

22. Governing Law

22.1. These Terms are governed by the laws of England and Wales.

22.2. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

22.3. If you are a consumer, this does not affect your right to bring proceedings in your country of domicile.

24. Hosting Service Description

Sections 24-33 apply specifically to TunerSuite Managed Hosting services and supplement all General Terms above.

24.1. TunerSuite Managed Hosting ("Hosting Service") is a managed software-as-a-service offering where we deploy, maintain, and host the TunerSuite ECU file management platform on our infrastructure on behalf of the customer.

24.2. The Hosting Service includes server provisioning, software installation, SSL certificate management, software updates, and basic monitoring as described in the selected plan.

24.3. Hosting is offered in three tiers: Starter (£30/month), Professional (£50/month), and Enterprise (£100/month). Plan features, limitations, and pricing are as published on our website at the time of purchase.

24.4. We reserve the right to modify plan features, limitations, or pricing at any time with 30 days' written notice via email. Continued use after such changes constitutes acceptance.

24.5. All prices are in British Pounds Sterling (GBP) and are exclusive of any applicable taxes unless stated otherwise.

25. Hosting Billing & Payment

25.1. Recurring Billing: Subscriptions are billed monthly via Stripe. By subscribing, you authorise us to charge your payment method on a recurring monthly basis.

25.2. Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date.

25.3. Failed Payments: If a scheduled payment fails: Day 0: Email notification sent. Day 3: Final warning; service suspended. Day 7: Portal taken offline. Day 37: Account scheduled for termination; all data may be permanently deleted.

25.4. Late Payment Fee: We reserve the right to charge a late fee of £10 for each failed payment attempt after the initial failure.

25.5. No Refunds: All hosting payments are non-refundable. We do not offer refunds for partial months, unused service time, plan downgrades, service dissatisfaction, or voluntary cancellation. Exceptions at our sole and absolute discretion.

25.6. Price Increases: We may increase subscription prices with 30 days' notice. Failure to cancel before the next billing cycle constitutes acceptance of the new price.

26. Hosting Availability

26.1. We provide the Hosting Service on a best-effort basis and target 99% monthly uptime. This is a target, not a guarantee, and we offer no Service Level Agreement (SLA) or compensation for downtime.

26.2. We are not liable for any downtime, data loss, business interruption, or any damages arising from service unavailability, whether planned or unplanned.

26.3. Planned maintenance may occur at any time. Emergency security patches may be applied without prior notice.

26.4. The service is provided "as is" and "as available" without warranties of any kind, express or implied.

27. Data Ownership & Backups

27.1. Customer Data: You retain ownership of your operational data (user records, file requests, uploaded ECU files, credit transactions).

27.2. Our Intellectual Property: All TunerSuite software, source code, algorithms, vehicle databases, ECU type databases, modification definitions, UI designs, and documentation remain our exclusive intellectual property. Your subscription grants a limited, non-exclusive, non-transferable, revocable licence to use the software during the active subscription period only.

27.3. Data Responsibility: While we perform regular automated backups, you are ultimately responsible for maintaining your own copies of critical business data. We provide hosting infrastructure, NOT guaranteed data preservation.

27.4. Backups: Starter/Professional: 7 daily backups retained. Enterprise: 30 daily backups retained. Backup restores may incur a £25 restoration fee. Backups are provided as a convenience and are not guaranteed.

27.5. Data After Termination: Upon termination, data is retained for a maximum of 30 calendar days. After this period, all data is permanently and irreversibly deleted without further notice.

28. Software Updates

28.1. We provide regular software updates as part of the Hosting Service, including new features, bug fixes, security patches, and database schema changes.

28.2. Updates are applied at our discretion and may change features, functionality, or the user interface without prior notice. We are not obligated to maintain backwards compatibility.

28.3. Critical security updates may be applied immediately without notice.

28.4. We are not liable for any issues, data loss, or business disruption arising from software updates.

29. Fair Use & Resources

29.1. Hosting resources are provided on shared infrastructure. Each plan has defined limits (users, storage, file requests) as published on our website.

29.2. If your usage consistently exceeds your plan's limits or negatively impacts other customers, we may: contact you to discuss upgrading; throttle your instance; or suspend your service.

29.3. Storage limits are enforced. Continued excess may result in suspension.

30. Prohibited Hosting Use

You may not use the Hosting Service to: engage in illegal activity; store or distribute malware; infringe third-party IP rights; engage in fraud or phishing; access other customers' data; reverse-engineer, decompile, or extract TunerSuite source code; redistribute, resell, or sublicence the software without written consent; use for cryptocurrency mining, torrenting, or unrelated resource-intensive activity; or circumvent any access controls or security measures.

Violation results in immediate suspension and may result in permanent termination without refund.

31. Hosting Suspension & Termination

31.1. Suspension by Us: We may suspend your Hosting Service immediately and without notice for: non-payment, Terms violation, suspected illegal activity, security threats, excessive resource usage, or any other reason at our sole discretion.

31.2. Termination by Us: We may terminate with 30 days' notice for any reason, or immediately for cause (Terms violation, illegal activity, non-payment exceeding 37 days).

31.3. Cancellation by You: You may cancel at any time. Service continues until end of current billing period. No prorated refunds.

31.4. Effect of Termination: All licence rights immediately cease. You must stop using all TunerSuite software, branding, and intellectual property. Data handled per Section 27.5.

31.5. We are not liable for any losses, damages, lost profits, lost customers, or reputational damage arising from suspension or termination.

32. Hosting Limitation of Liability

32.1. Our total aggregate liability for any claims arising from the Hosting Service shall not exceed the total amount paid by you in the three (3) months immediately preceding the claim.

32.2. We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including: lost profits, lost revenue, lost data, lost customers, business interruption, cost of substitute services, or reputational damage, regardless of the theory of liability.

32.3. We shall not be liable for any failure or delay due to causes beyond our reasonable control (force majeure), including natural disasters, power outages, internet disruptions, cyber attacks, government actions, pandemics, or supplier failures.

32.4. You agree to indemnify, defend, and hold harmless TUNING-DATABASE from any claims, liabilities, damages, or expenses arising from your use of the Hosting Service, violation of these Terms, or any ECU tuning activities performed using your hosted portal.

33. ECU Tuning Disclaimer

33.1. All ECU tuning files processed through TunerSuite Hosted portals are intended for off-road, competition, and motorsport use only.

33.2. You accept full and sole responsibility for the use, distribution, and application of any ECU tuning files created, modified, or distributed through your hosted portal.

33.3. We make absolutely no guarantees regarding performance gains, fuel economy, emissions compliance, or vehicle safety resulting from ECU modifications.

33.4. Modifying ECU software may void vehicle warranties, affect insurance, violate emissions regulations, and may be illegal in certain jurisdictions. It is your responsibility to ensure compliance with all applicable laws.

33.5. We are not liable for any vehicle damage, mechanical failure, accident, injury, death, environmental damage, legal consequences, fines, or any other harm resulting from the use of ECU tuning files processed through the Hosting Service.
