Comprehensive Terms of Service, End User License Agreement (EULA) & Privacy Policy

I. General Terms of Service

1. Agreement & Definitions 1.1. Parties: These Terms constitute a legally binding agreement between Tuning-Database.co.uk (“Provider”, “Developer”, “we”) and the registered account holder (“User”).
1.2. Scope: This agreement covers the use of our File Service, the Credit System, and any proprietary software tools or web applications provided by us (e.g., InstaTuner, Web Portal).
1.3. B2B Nature: Our services and software are primarily intended for Business-to-Business (B2B) transactions with professional tuners.
2. The Credit System 2.1. Virtual Currency: The Service operates on a prepaid credit basis. 1 Credit is equivalent to £1.00 GBP. Credits are non-transferable between accounts.
2.2. No Cash Value: Once purchased, credits have no monetary value outside of the Service and cannot be exchanged for cash, except where required by law.
2.3. Expiration: Credits do not expire as long as your account remains active. We reserve the right to archive accounts inactive for over 24 months.
2.4. Pricing Strategy: We reserve the right to alter credit prices for services (e.g., Stage 1, DPF Off) without prior notice. The valid price is the one displayed at the moment of file download.
3. File Service Protocol 3.1. Upload Requirements: The User is responsible for providing a correct, uncorrupted binary read from the ECU. You must accurately specify the vehicle details (Make, Model, Engine Code, ECU Hardware/Software IDs) and the reading tool used.
3.2. Processing Time: Typical turnaround is 15-60 minutes during business hours. This is an estimate, not a guarantee. Complex projects (Stage 3, Big Turbo) may require 24-48 hours.
3.3. Checksums: We calculate checksums by default unless requested otherwise. However, the User MUST verify checksums before writing to the ECU. We are not liable for bricked ECUs due to checksum errors.
4. NO REFUNDS & CANCELLATIONS 4.1. Digital Content Waiver: In accordance with the Consumer Rights Act 2015 (UK) and EU Consumer Rights Directive, you acknowledge that by clicking “Download” or “Pay”, you are expressly requesting immediate supply of digital content.
4.2. Loss of Withdrawal Right: You explicitly acknowledge that you lose your right of withdrawal (cooling-off period) once the performance of the service has begun (i.e., the file has been processed or downloaded).
4.3. Refund Policy: ALL SALES ARE FINAL. No refunds will be issued for correctly supplied files or software licenses.
4.4. Defective File Exception: If a file is technically defective, you must provide diagnostic codes (DTCs) and logs. We will provide revisions to fix the issue. If we cannot fix it, we will credit your account balance.
5. Mechanical Risk & Liability 5.1. Assumption of Risk: Increasing engine performance (Stage 1/2/3) places higher stress on mechanical components. You assume full responsibility for any mechanical failure.
5.2. Vehicle Condition: We assume all vehicles are in perfect mechanical condition. We are not liable for failures caused by pre-existing wear, poor maintenance, or faulty components.
5.3. Liability Cap: To the maximum extent permitted by law, Tuning-Database.co.uk shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, loss of data, towing costs, or engine replacement costs). Our liability is strictly limited to the cost of the service provided.
6. Emissions & Road Legality 6.1. OFF-ROAD USE ONLY: Services involving the removal or disabling of emissions systems (DPF, EGR, AdBlue/SCR, CAT, OPF) are strictly provided for Motorsport, Competition, and Off-Road use only.
6.2. Regulatory Compliance: It is illegal in the UK, EU, and USA to operate a vehicle on public roads with emissions systems modified or removed.
6.3. User Indemnity: You are solely responsible for ensuring compliance with local laws. You agree to indemnify and hold us harmless against any fines or legal actions resulting from the illegal use of a modified vehicle.
7. Tools & Equipment 7.1. Hardware Responsibility: We are not responsible for damage caused by your reading/writing tools (flashers). This includes “bricked” ECUs caused by voltage drops, cable disconnection, or protocol errors.
7.2. Cloned Tools: We strongly advise against using cloned/fake tools (e.g., Kess v2 Clone). Files created for genuine tools may not work on clones.
8. IP & Software License 8.1. License Grant: You are granted a limited, non-exclusive, non-transferable license to use our files and software tools for your internal business purposes.
8.2. Software Protection: You may not resell, redistribute, reverse engineer, decompile, or attempt to extract the source code or algorithms from our web platform or downloadable software (e.g., InstaTuner).
8.3. Ownership: All intellectual property rights in the software, database structure, and tuning algorithms remain the sole property of Tuning-Database.co.uk.
9. Payment Disputes & Chargebacks 9.1. Chargeback Policy: You agree not to initiate a chargeback or payment dispute for reasons such as “Item not received” if the file/software has been made available, or “Not as described” if the service was performed according to industry standards.
9.2. Compelling Evidence: In the event of a dispute, we will provide the payment processor with server logs (IP, timestamps) proving delivery and your acceptance of these Terms.
9.3. Account Ban: Fraudulent chargebacks will result in a permanent account ban and forfeiture of all credits.
10. Termination & Access 10.1. Right to Terminate: We reserve the right to suspend or terminate your account immediately if you breach these Terms (e.g., sharing accounts, reselling files).
10.2. Consequences: Upon termination, your right to use the Service ceases immediately.
11. Governing Law & Jurisdiction 11.1. Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the United Kingdom.
11.2. Dispute Resolution: Any dispute shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
12. Software Updates & Availability 12.1. Updates: As a software provider, we may update, patch, or deprecate features of our platform or tools at any time to improve security or functionality.
12.2. Availability: We do not guarantee 100% uptime. We are not liable for business losses due to server maintenance or ISP failures.
12.3. Bugs: Software is provided “as is”. While we test extensively, we do not warrant that our software is wholly free from bugs or errors.

II. Privacy Policy (GDPR)

1. Data Collection We process personal data under the lawful bases of Contractual Necessity and Legitimate Interest.
a) Identity: Name, Company Name, VAT Number.
b) Contact: Email address, Phone number (WhatsApp), Billing address.
c) Technical Data: IP address, Browser type, Login timestamps.
d) Vehicle Data: VIN, License Plate, ECU IDs (essential for the tuning service).
2. File Retention Policy 2.1. Tuning Files: We retain original and modified ECU files for a period of 5 years. This is to provide you with backup services (e.g., if you need to return a car to stock years later).
2.2. Deletion: You may request the deletion of your files earlier, but this will void any support or backup capability for those specific vehicles.
3. Data Sharing & Security 3.1. No Selling: We never sell your data to third parties.
3.2. Processors: We share necessary data with:
• Stripe/PayPal: For payment processing (we do not see your full card details).
• Cloud Providers: For secure file hosting.
3.3. Security: All data is transmitted via SSL encryption. Files are stored in non-public directories protected by server-level authentication.
4. User Rights Under UK GDPR and EU GDPR, you have the right to access, rectify, or erase your personal data. To exercise these rights, please contact our Data Protection Officer at info@tuning-database.co.uk.
